Terms & Custom-Order Policy
Last updated: 4 November 2026
These terms explain how quotations and orders for custom shade structures work. They apply to enquiries and orders placed through this website or by WhatsApp, email or telephone. Where you and NANXUAN YAOYUN sign a separate contract, that contract takes priority.
1. This website is not a shop
This site is a product catalogue and enquiry channel. There is no shopping cart, no online payment and no binding online sale. Prices are prepared individually against your dimensions, finish, quantity, fixing conditions and delivery terms.
2. Quotations
Every product is made to order. Unless stated otherwise, a quotation is valid for 30 days. Dimensions, colours, materials and performance figures are confirmed by the approved drawing and the contract, not by this website. The specification ranges shown on the site are typical starting points.
3. Custom orders and returns
Custom products are made to your drawing and are non-returnable and non-refundable after production begins. Because each unit is cut, welded, coated and packed to your approved drawing, it cannot be resold to another customer. Please check the drawing carefully before you approve it.
- Production starts only after you approve the drawing and pay the agreed deposit.
- Changes after drawing approval may delay delivery and may be charged separately.
- If a product arrives with a confirmed manufacturing defect, we will repair or replace the affected parts. This is your remedy for defects; it is not a right to return a correctly manufactured custom order.
- Nothing in these terms limits rights that cannot be excluded by the law that applies to your order.
4. Drawings and approval
We prepare a layout drawing and, where agreed, structural calculations for the destination market. You are responsible for checking dimensions, positions, fixing points, colour references and site access before approval. Local planning, building and safety approvals remain with you or your appointed engineer unless we agree otherwise in writing.
5. Payment
The payment schedule is stated in the proforma invoice or contract, typically a deposit before production and the balance before shipment. Bank charges and any currency conversion costs are borne by the payer unless agreed otherwise.
6. Delivery and risk
Delivery terms (for example FOB, CIF or DAP) are stated in the quotation. Risk passes according to those terms. Delivery dates are estimates based on production capacity and shipping schedules; we will inform you of any material delay.
7. Unloading, storage and installation
Unless agreed otherwise, unloading, storage and installation are the buyer's responsibility. Structures are shipped flat-packed with an installation manual. Installation must follow the manual and the approved drawing; we can provide remote support and can review your installer's method statement.
8. Site conditions and foundations
Foundations, anchor design and ground conditions are project-specific. Unless we expressly design them, foundations and anchor calculations are the responsibility of the buyer's engineer. We are not responsible for failures caused by foundations, site preparation or work carried out by others.
9. Colours, materials and tolerances
Colours are matched to the agreed RAL or membrane reference and may vary slightly between production batches and viewing conditions. Normal manufacturing tolerances for textile structures, powder coating and aluminium fabrication apply.
10. Images and references
Photographs on this site show representative installations and factory detail. They may include third-party sites, and the delivered structure will follow your approved drawing rather than the photograph. Catalogue sheets supplied by component manufacturers are included for technical reference only.
11. Liability
To the extent permitted by law, our liability for any claim arising from an order is limited to the value of the goods supplied under that order. We are not liable for indirect or consequential loss, including loss of profit or business interruption.
12. Governing law
These terms are governed by the laws of the People's Republic of China. Disputes will first be discussed in good faith; failing that, they will be resolved by the competent court in Shanghai, unless a signed contract provides otherwise.
